About the Role
A highly regarded New England firm is seeking an attorney with strong experience in debt finance and restructuring. You’ll handle a diverse mix of borrower and lender-side matters across secured and unsecured deals, asset-based lending, mezzanine, bilateral and syndicated facilities, receivables and acquisition financing, cross-border transactions, restructurings, and workouts. You’ll take transactions from term sheet through closing with hands-on responsibility, client contact, and collaboration across teams.

Key Responsibilities

  • Structure, draft, and negotiate loan and security documents and ancillary agreements.

  • Manage transactions end-to-end: term sheet → diligence → documentation → closing.

  • Advise borrowers and lenders across varied financing types (secured/unsecured, ABL, mezzanine, syndicated, receivables, acquisition, cross-border).

  • Support workouts and restructurings; coordinate with bankruptcy/restructuring teams as needed.

  • Interface directly with clients, opposing counsel, and internal stakeholders to drive timely closings.

Qualifications

  • 4–7 years of substantive transactional experience, ideally focused on debt finance.

  • Demonstrated ability to run deals independently with partner oversight.

  • Strong drafting, issue-spotting, and negotiation skills; impeccable attention to detail.

  • Restructuring/workout/bankruptcy experience is desirable but not required.

  • Juris Doctor and active bar membership in at least one U.S. jurisdiction; ability to become admitted/waived into ME if needed.
