Overview:
A highly respected litigation and transactional law firm is seeking a Corporate Associate Attorney to join its Kansas City office. This opportunity is ideal for a driven legal professional with a minimum of five years of corporate and transactional experience, including mergers and acquisitions, who is looking to work on sophisticated matters with the autonomy to manage client relationships and files independently.

Key Responsibilities:

  • Manage all aspects of mergers and acquisitions, including due diligence, structuring transactions, and drafting related documentation.

  • Provide strategic legal guidance on succession planning for closely held businesses.

  • Review, draft, and negotiate various business contracts such as vendor, partnership, and employment agreements.

  • Advise clients on matters related to corporate governance, shareholder rights, fiduciary responsibilities, and board management.

  • Provide estate planning services tailored to business owners and high-net-worth individuals.

  • Ensure clients remain in compliance with applicable laws and regulatory frameworks across industries.

  • Identify and advise on potential legal risks and propose mitigation strategies.

  • Conduct legal research on complex contractual, corporate governance, and regulatory issues to support client business decisions.

Qualifications:

  • Juris Doctor (JD) from an accredited law school.

  • Active bar membership in both Missouri and Kansas.

  • Minimum of 5 years of experience practicing corporate law, with a focus on M&A, transactional work, and business succession planning.

  • Additional licensure in other states is considered an asset.

  • Proven ability to manage files independently and work directly with clients.

  • Excellent drafting, research, and analytical skills.

  • Strong interpersonal and communication abilities.
