A well-established national law firm is seeking an experienced Business Law & Litigation Attorney with 5+ years of relevant experience for their Mississippi office. This is an excellent opportunity for a motivated attorney who is confident handling both transactional business matters and complex litigation.
The ideal candidate will be able to independently manage cases, advise business clients strategically, and represent clients effectively in court.
Key Responsibilities
Business Law (Transactional) Responsibilities:
- Draft, review, and negotiate contracts including purchase agreements, operating agreements, shareholder agreements, and vendor contracts
- Advise clients on business formation and entity structuring (LLCs, corporations, partnerships)
- Counsel businesses on governance, compliance, and risk management matters
- Handle mergers and acquisitions, asset purchases, and business sales
- Provide guidance on employment-related business issues and commercial transactions
- Conduct due diligence and assist with business restructuring
Litigation Responsibilities:
- Manage commercial litigation matters from inception through resolution
- Draft pleadings, motions, discovery requests, and legal briefs
- Conduct depositions, hearings, mediations, and trials
- Represent clients in state and federal courts across Mississippi
- Develop case strategy and advise clients on litigation risk and settlement options
- Handle contract disputes, partnership disputes, shareholder disputes, and other business-related conflicts
Qualifications
- 5+ years of experience in business law and commercial litigation
- Licensed and in good standing with the Mississippi Bar
- Strong legal research, writing, and advocacy skills
- Experience independently managing a caseload
- Trial experience preferred
- Excellent communication and client relationship skills
