As a Senior Associate Lawyer specializing in M&A transactions, you will play a key leadership role within the department, managing your workload while providing direct client advisement throughout each transaction. Key Responsibilities

  • Develop and lead the firm’s M&A practice.
  • Consult with clients to understand their goals, shaping transaction strategies to align with their objectives and risk tolerance.
  • Conduct thorough due diligence and document reviews to identify potential risks and liabilities.
  • Advise on optimal deal structures, covering regulatory and tax implications.
  • Draft, review, and negotiate key transaction documents, including Letters of Intent, Purchase Agreements, and Merger Agreements.
  • Lead negotiations on essential contractual terms, addressing purchase price adjustments, indemnities, financing, and restrictive covenants.
  • Collaborate with financial and tax advisors to structure deals in a tax-efficient manner.
  • Oversee the closing process and support post-closing integration, compliance, and any ongoing obligations.

Qualifications

  • 5+ years of corporate law experience with a strong emphasis on M&A transactions.
  • Proven ability to manage transactions independently from inception through closing.
  • Strong analytical, problem-solving, and communication skills.
  • An existing corporate commercial practice is advantageous but not required.
