Position: Mergers & Acquisitions Associate
Work Type: Fulltime/In-Office
We are seeking a talented and motivated M&A Associate Attorney with 3+ years of relevant experience to join our growing team. The ideal candidate will have experience in mergers and acquisitions, corporate transactions, and related legal matters in a law firm setting. This role involves advising clients on deal structuring, conducting due diligence, drafting key transaction documents, and ensuring compliance with relevant regulations.
Essential Duties and Responsibilities:
- Assist in structuring, negotiating, and executing M&A transactions, including asset purchases, stock purchases, and mergers.
- Draft and review key transactional documents such as purchase agreements, letters of intent, and disclosure schedules.
- Conduct legal due diligence and assess risks in corporate transactions.
- Advise clients on corporate governance, regulatory compliance, and contractual obligations.
- Coordinate with internal teams, clients, investment bankers, and opposing counsel to facilitate deal execution.
- Stay up to date with evolving laws and regulations affecting M&A and corporate transactions.
- Support senior attorneys in complex deal negotiations and client communications.
- Providing day-to-day legal support to corporate clients, including portfolio companies of private equity clients.
Qualifications:
- J.D. from an accredited law school.
- Admission to the Pennsylvania Bar (or eligibility for admission).
- 3+ years of M&A, corporate law, or securities transactions at a law firm.
- Strong drafting, negotiation, and analytical skills.
- Ability to manage multiple transactions simultaneously and work under tight deadlines.
- Exceptional attention to detail and problem-solving abilities.
- Excellent written/oral communication skills.
