Job Title: Corporate Transactional Paralegal
Location: Tysons, VA (Hybrid after 90 day probational period)
The Opportunity: A highly respected law firm in Tysons is seeking an experienced Corporate Transactional Paralegal to join their legal team.
Responsibilities:
- Assist attorneys in all phases of corporate transactions, including mergers and acquisitions, reorganizations, financings, and corporate governance matters.
- Draft, review, and organize a wide range of legal documents, including but not limited to, corporate resolutions, consents, certificates, closing documents, and ancillary agreements.
- Conduct due diligence, including entity searches, lien searches, and litigation searches, and assist in the preparation of due diligence reports and summaries.
- Manage and maintain corporate minute books and other corporate records for various entities.
- Coordinate and manage closing logistics, including preparing closing checklists, signature packets, and post-closing binders.
- Prepare and file corporate formation documents, foreign qualifications, and other corporate filings with state and federal agencies.
- Assist with post-closing integration and compliance matters.
- Maintain organized and accessible electronic and physical files.
Qualifications:
- Paralegal Certificate from an ABA-approved program required.
- A minimum of 5 years of dedicated experience as a Corporate Transactional Paralegal, preferably within a law firm or corporate legal department with a significant M&A focus.
- Demonstrated expertise in managing complex corporate transactions from inception to closing.
- Strong understanding of corporate governance principles and entity maintenance.
- Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) and experience with document management systems.
- Ability to work independently, prioritize tasks, and manage multiple projects simultaneously in a fast-paced environment.
