Corporate/Commercial Law Clerk

A well-established and reputable Toronto law firm is seeking an experienced Corporate/Commercial Law Clerk with 4+ years of hands-on corporate law experience to join their growing team. This is an excellent opportunity for a detail-oriented, highly organized clerk who thrives in a fast-paced environment and enjoys working on sophisticated corporate transactions.

Responsibilities

• Prepare and file incorporations, amendments, dissolutions, continuances, amalgamations, and extra-provincial registrations
• Maintain and update corporate minute books, including resolutions, registers, ledgers, share issuances, and annual filings
• Assist with corporate reorganizations, mergers, acquisitions, and due diligence reviews
• Draft and prepare various corporate/commercial documents (resolutions, director/officer changes, share transfers, unanimous shareholder agreements, etc.)
• Support corporate transactions from inception to closing with minimal supervision

Qualifications

4+ years of experience as a Corporate or Corporate/Commercial Law Clerk
• Strong working knowledge of OBCA, CBCA, and corporate governance procedures
• Experience in transactional corporate work, M&A support, and due diligence
• Proficient in corporate software such as Cyberbahn, CorpLink, Athennian, MinuteBox, or similar
• Excellent communication skills and ability to work directly with clients
• Law Clerk diploma and ILCO certification (or in progress) preferred
