Position Overview

We are looking for an experienced Real Estate Transactional Attorney with 5 to 15 years of sophisticated practice experience. Candidates with a strong background in Mergers & Acquisitions (M&A) who are interested in leveraging their corporate transactional skills are also highly encouraged to apply.

This role offers the opportunity to manage complex, high-value transactions from inception to close, working closely with a diverse portfolio of clients. The ideal candidate is a strategic thinker, a skilled negotiator, and a collaborative team player.

Key Responsibilities

  • Structuring, drafting, reviewing, and negotiating a wide variety of commercial real estate documents, including purchase and sale agreements, commercial leases, financing documents, and development agreements.
  • For candidates with an M&A focus: Leading or supporting corporate transactions, including asset and stock purchases, joint ventures, and corporate restructuring.
  • Conducting comprehensive due diligence, including title, survey, and zoning reviews.
  • Advising clients on transaction structures, risk mitigation, and regulatory compliance.
  • Managing transaction closings and ensuring seamless execution of all deal components.
  • Cultivating and maintaining strong, long-term client relationships.

Qualifications & Experience

  • Juris Doctor (J.D.) from an accredited law school.
  • Active member in good standing with the Washington State Bar Association (WSBA), or eligible to waive in.
  • 5 to 15 years of dedicated experience in commercial real estate transactions or corporate M&A.
  • Strong drafting, negotiation, and analytical skills with keen attention to detail.
  • Excellent communication skills and the ability to interface confidently with sophisticated clients.
  • Ability to work independently while collaborating effectively within a team environment.
