Overview
A highly reputable Miami law firm is seeking a talented Corporate Associate with 3–5 years of sophisticated transactional experience. The ideal candidate will have strong exposure to M&A transactions, with additional experience in private equity, equity investments, joint ventures, corporate governance, licensing, and partnership matters. This is a fantastic opportunity to join a growing corporate practice, handle complex deals, and work directly with partners and high-profile clients.
Key Responsibilities
• Handle and manage all aspects of M&A transactions from initial drafting to closing
• Assist with private equity transactions, equity investments, joint ventures, and partnership structuring
• Draft and negotiate corporate agreements, including purchase agreements, shareholder agreements, operating agreements, and licensing agreements
• Advise clients on corporate governance, compliance, and entity structuring
• Support senior attorneys on complex cross-border or multi-party transactions
• Conduct due diligence and manage transactional checklists
• Collaborate with other practice groups when transactions involve multi-disciplinary issues
• Maintain strong client communication and provide strategic guidance
Qualifications
• 3–5 years of corporate transactional experience, focusing on M&A
• Experience with private equity, partnerships, licensing, and joint ventures strongly preferred
• Familiarity with corporate governance, restructuring, and entity formation
• Knowledge of securities law, technology transactions, and fund formation is a strong plus
• Must be admitted to the Florida Bar (required)
• Excellent drafting, negotiation, and analytical skills
• Ability to manage multiple deals simultaneously in a fast-paced environment
• Strong communication skills and a proactive, business-minded approach
