We are seeking a highly motivated and talented Finance Associate Attorney to support our finance practice in our Houston, Texas office. The ideal candidate will have 2-4 years of experience in corporate finance, lending transactions, debt offerings, and financial restructuring matters. This position offers exposure to complex, high-stakes matters and is an excellent opportunity for an attorney looking to grow within the finance legal field.
Key Responsibilities:
- Draft and review loan agreements, credit facilities, security agreements, and other finance-related documents.
- Advise clients on structuring and negotiating financing transactions, including debt offerings, asset-based lending, and acquisition financing.
- Assist with financial restructurings, including bankruptcy filings, creditor negotiations, and distressed asset acquisitions.
- Conduct legal research on finance-related issues, including regulatory developments, financial market trends, and compliance.
- Collaborate with senior attorneys and clients to develop strategies and provide legal solutions for complex finance transactions.
- Manage client relationships and maintain clear communication on case developments.
- Participate in due diligence processes and support the execution of financial transactions.
- Provide legal guidance on banking regulations, securities laws, and other applicable laws affecting financial transactions.
- Attend meetings, hearings, and closings as needed.
Qualifications:
- Juris Doctor (JD) from an accredited law school.
- Licensed to practice in Texas
- 2-4 years of experience in finance law, with a focus on corporate lending, financial transactions, or financial restructuring.
- Strong knowledge of financial products, credit markets, and securities regulations.
- Excellent legal writing and drafting skills, with a strong attention to detail.
- Experience with loan agreements, indentures, and other financing documents is preferred.
- Strong research, analytical, and problem-solving skills.
- Ability to manage multiple projects and deadlines in a fast-paced environment.
- Strong interpersonal and communication skills.
- Ability to work collaboratively in a team setting and interact with clients effectively.
- Prior experience with complex corporate transactions or financial restructurings is a plus.
