The Opportunity

A highly regarded business law firm is seeking a mid-level to senior Corporate Tax Associate or Counsel to join its sophisticated transactional practice.

This position sits at the intersection of the firm's Corporate/M&A and Investment Funds practices, providing an experienced tax attorney with exposure to a diverse mix of transactions, investment structures, and sophisticated business clients.

The successful candidate will work closely with tax attorneys as well as corporate, M&A, and investment advisory lawyers, providing tax advice throughout complex transactions and investment matters.

Practice Focus

Corporate / M&A

Tax advice relating to:

  • Mid-market mergers and acquisitions
  • Joint ventures
  • Real estate joint ventures
  • Early-stage and emerging companies
  • Corporate structuring and transactional matters

Investment Funds

Tax matters involving:

  • Partnerships and corporations
  • Offshore entities and structures
  • Complex financial transactions
  • Investment advisers
  • Hedge funds
  • Real estate funds
  • Private equity funds
  • Venture capital funds

The Role

The successful candidate will:

  • Advise clients on the federal tax implications of sophisticated corporate and investment transactions
  • Work alongside Corporate/M&A and Investment Funds attorneys in structuring transactions
  • Advise on partnership and corporate taxation
  • Support M&A, joint venture, and real estate joint venture transactions
  • Advise on tax considerations affecting private investment funds and investment advisers
  • Analyze tax issues involving domestic and offshore entities
  • Draft and review tax-related provisions and transactional documents
  • Collaborate closely with other experienced tax attorneys and multidisciplinary deal teams

Qualifications

  • Approximately 5–8 years of corporate tax transactional experience
  • Substantial experience advising on sophisticated transactional tax matters
  • Strong corporate/M&A and/or investment fund tax experience
  • Excellent academic credentials from a nationally recognized law school
  • Demonstrably superior legal writing skills
  • Ability to work collaboratively across multiple sophisticated transactional practices

Candidates may be considered at the Associate or Counsel level, depending on experience.

Compensation

The anticipated base salary range is $310,000–$370,000 annually.

Final compensation will depend on factors including experience, seniority, education, and other relevant qualifications.
