Position Overview

We are partnered with a well-established San Francisco law firm seeking a Corporate Associate Attorney with 2–5 years of experience in corporate transactions, mergers and acquisitions, and securities law for a partnership-track opportunity. This position offers the chance to work on sophisticated transactional matters for a diverse client base, including emerging growth companies, private investment funds, and established businesses. The ideal candidate will have a strong academic background, exceptional drafting skills, and experience handling complex corporate transactions.

Key Responsibilities

• Draft, review, and negotiate transaction documents for mergers, acquisitions, and other corporate transactions.
• Advise clients on corporate governance, securities law compliance, and general corporate matters.
• Represent emerging growth companies throughout their business lifecycle, including entity formation, financing, and strategic transactions.
• Assist with the formation and representation of private investment funds.
• Handle intellectual property transactional matters and commercial agreements.
• Collaborate with partners and clients on sophisticated corporate counseling and transactional matters.

Qualifications

• J.D. from a top ABA-accredited law school with a strong academic record.
• Active membership in the California Bar.
• 2–5 years of corporate transactional, M&A, and securities law experience.
• Experience drafting and negotiating complex transaction documents.
• Excellent legal writing, analytical, and communication skills.
• Ability to manage multiple matters in a collaborative, client-focused environment.
