Transactional Corporate M&A Associate Attorney (3–9 Years)

A well-established and growing North Carolina law firm is seeking a Transactional Corporate M&A Associate Attorney with 3–9 years of experience to join its corporate practice in Winston-Salem or Raleigh. This is a hybrid opportunity offering hands-on deal experience, strong mentorship, and exposure to sophisticated transactions.

Position Overview

The Corporate M&A Attorney will advise business clients on mergers, acquisitions, divestitures, and joint ventures, leading transactions from inception through closing. This role requires strong transactional experience, attention to detail, and the ability to manage multiple matters in a fast-paced environment.

Key Responsibilities

  • Structure mergers, acquisitions, divestitures, and joint-ventures
  • Lead transactions from initial negotiations to closing
  • Conduct and oversee legal due diligence
  • Draft, review, and negotiate complex transaction documents, including asset and stock purchase agreements
  • Coordinate with tax, finance, and executive teams to ensure strategic and regulatory compliance
  • Identify and manage risk throughout the transaction process
  • Ensure compliance with applicable laws and regulations
  • Work efficiently under tight deadlines while maintaining high-quality client service

Qualifications

  • 3–9 years of corporate transactional experience with a focus on M&A
  • Strong drafting and negotiation skills
  • Ability to manage transactions with increasing independence
  • Excellent analytical and problem-solving abilities
  • Strong communication and client-facing skills
  • Active North Carolina license required
