Job Description:

We are seeking a skilled and motivated Corporate Attorney with 2-4 years of experience in mergers and acquisitions (M&A) to join our dynamic legal team. The ideal candidate will possess strong knowledge of corporate law, transaction structuring, and the negotiation and documentation of M&A deals. Key Responsibilities:

• Assist in all aspects of M&A transactions, including due diligence, deal structuring, negotiation, and documentation of agreements.
• Provide legal advice to clients on corporate governance, regulatory compliance, and other corporate matters.
• Draft, review, and negotiate transaction documents, including stock/shareholder agreements, asset purchase agreements, and other relevant documents.
• Conduct legal research on corporate, securities, and tax matters as related to M&A transactions.
• Collaborate with other departments to address legal and regulatory issues associated with corporate transactions.
• Work closely with senior attorneys to develop legal strategies and provide comprehensive client support.
• Attend and participate in client meetings, deal closings, and corporate negotiations.

Qualifications:

• J.D. from an accredited law school and active VA State Bar.
• 2-4 years of experience in corporate law, with a focus on mergers and acquisitions.
• Experience with cross-border transactions is a plus.
• Knowledge of antitrust law or regulatory approvals in M&A is a bonus.
