gpac is conducting a confidential search on behalf of our partner, a well-established regional law firm, for a Corporate Mergers & Acquisitions Attorney with 5–8 years of experience to join a growing transactional practice in Fairfax County.

The Opportunity

The attorney in this role will play a key part in advising clients across a broad range of corporate and transactional matters, including mergers and acquisitions, corporate governance, and general business transactions. You will work directly with experienced partners and clients on transactions involving private companies, entrepreneurs, and closely held businesses.

This position offers hands-on responsibility, exposure to high-quality transactional work, and the ability to develop strong client relationships early in your career.

Responsibilities

  • Draft and negotiate merger and acquisition agreements
  • Advise clients on corporate governance and business structuring
  • Conduct due diligence for complex transactions
  • Assist with entity formation, restructuring, and business operations
  • Collaborate with attorneys across practice areas including real estate, tax, and litigation
  • Support middle-market transactions involving privately held companies across multiple industries

Qualifications

  • 5–8 years of corporate transactional experience
  • Experience with mergers and acquisitions and corporate governance matters
  • Strong drafting, negotiation, and analytical skills
  • Ability to manage multiple transactions and maintain strong client relationships
  • Active license to practice law in Virginia or ability to waive into the Virginia Bar
