Commercial Real Estate / Transactional Attorney
Location: Chattanooga, TN (Onsite)
Billable Requirement: 1,800 hours
Experience Level: 3+ years of commercial transactional experience
Position Overview
A prominent law firm is seeking a talented commercial transactional attorney to join its established Real Estate section in Chattanooga, TN. This role offers the opportunity to continue growing your practice while benefiting from an already established, robust client list. Roles and Responsibilities
Draft and negotiate leases, purchase and sale agreements, letters of intent, easements, covenants, and restriction agreements (or similar title agreements), and amendments for commercial real estate transactions.
Engage in due diligence related to real estate transactions and shepherd deals from agreement to closing, including tracking critical dates, reviewing title, survey, and environmental reports, and preparing and negotiating closing documents.
Facilitate closings and complete post-closing documentation and administration.
Draft and review complex operating agreements or bylaws, shareholders’ agreements, property management agreements, master service and service level agreements, indemnity agreements, and other client contracts.
Draft and negotiate loan documents as applicable.
Coordinate with other team members, including attorneys, paralegals, and staff members.
Effectively organize and maintain client files.
Provide top-notch client service, including thoughtful, responsive guidance and an excellent work product.
Skills and Competencies
Minimum 3 years of job experience as an attorney with commercial and transactional experience, specifically spanning areas such as organizational structuring, financing/investment, VC arrangements, leasing, land use and zoning, acquisitions/dispositions, construction, commercial lending, or tax.
Demonstrated analytical and problem-solving skills.
Excellent legal research and writing skills.
Strong verbal and written communication to effectively advocate for and work with various types of clients.
Willing to pitch in, collaborate, and support a growing practice group in a fast-paced, expanding market.
Able to problem solve, resolve, and close open issues, and assist staff and colleagues with resolving issues that arise.
Able to meet strict deadlines under significant time pressure.
Ability to manage time and resources effectively and independently, and balance conflicting priorities.
Education and License Requirements
Juris Doctor (J.D.) degree from an accredited law school.
License required in TN and in good standing.
