Corporate Associate Attorney (M&A Focus)

A growing business and corporate practice is seeking a Corporate Associate Attorney who is interested in building a sophisticated transactional practice while working closely with experienced deal lawyers. This role offers meaningful involvement in mergers and acquisitions as well as ongoing corporate advisory work for a broad range of clients.

The team advises entrepreneurs, privately held companies, private equity groups, and investors across multiple industries—including construction, manufacturing, technology, and healthcare. Attorneys in this practice are encouraged to take ownership of matters, interact directly with clients, and develop the judgment needed to guide complex transactions.

Key Responsibilities

  • Assist in buy-side and sell-side mergers and acquisitions, including due diligence review, transaction structuring, and negotiation strategy

  • Draft and negotiate core transaction documents such as letters of intent, purchase agreements, disclosure schedules, and ancillary agreements

  • Counsel clients on entity formation, corporate governance, and ownership structures

  • Prepare and review commercial agreements, operating agreements, shareholder agreements, and other governing documents

  • Support senior attorneys on sophisticated deals while gradually assuming greater responsibility and client-facing roles

Qualifications

  • J.D. from an accredited law school and licensed (or eligible for admission) in Colorado

  • 3+ years of experience in corporate or transactional law at a law firm

  • Demonstrated experience with M&A transactions and general corporate matters

  • Strong drafting, analytical, and communication skills

  • Ability to manage multiple matters while collaborating in a team-driven practice

  • Motivated self-starter interested in developing a long-term transactional practice
