Position: Corporate Attorney
Location: San Diego, CA | Irvine, CA | Fully Remote (U.S.)
A growing corporate practice is seeking a Corporate Attorney to join its team. This role involves advising companies, entrepreneurs, and investors on a wide range of corporate and transactional matters, including business formation, governance, contracts, and strategic transactions. The position offers the opportunity to work with emerging companies, privately held businesses, and established organizations across multiple industries.
Advise clients on entity formation, structuring, and corporate governance matters.
Draft, review, and negotiate a variety of commercial agreements and transactional documents.
Support mergers and acquisitions, including asset and equity purchases, due diligence, and transaction structuring.
Counsel clients on day-to-day corporate matters, including board governance, compliance, and business strategy.
Assist emerging companies and established businesses with financing transactions, strategic partnerships, and joint ventures.
Provide outside general counsel support to businesses on operational and contractual issues.
J.D. from an accredited law school and active CA bar license
5-10 years of corporate or transactional law experience at a law firm preferred.
Experience with business formations, governance, commercial contracts, and M&A transactions.
Strong drafting, negotiation, and client-advising skills.
Ability to manage multiple matters and work collaboratively with a transactional team.
Work with a sophisticated mid-size firm handling complex transactional matters.
