Job Title: Legal Counsel – Residential Homebuilder

Location: Maryland (supporting operations across the Mid-Atlantic)

Company Overview Our client is a growing production home builder operating across multiple markets in the Mid-Atlantic region. With a focus on strategic land acquisition, community development, and long-term growth, the company operates through a sophisticated multi-entity structure and partners closely with landowners, municipalities, and development teams to deliver high-quality residential communities.

They are seeking an experienced Legal Counsel to serve as a key legal advisor to executive leadership and support the company’s land acquisition, development, and operational initiatives.

Position Overview

The Legal Counsel will act as the primary legal resource for the organization, advising executive leadership on legal strategy, regulatory matters, and risk management. This role will play a critical part in supporting land acquisition, zoning, entitlement, and development activities while overseeing corporate governance and entity management across the company’s multi-entity structure.

This position requires a practical, business-minded attorney who can provide proactive legal guidance while supporting the company’s growth and operational objectives.

Key Responsibilities

  • Serve as the primary legal advisor to executive leadership, providing legal, regulatory, and risk-related guidance across a complex, multi-entity organizational structure
  • Lead legal aspects of land acquisition, zoning, entitlement, and development, including land use and regulatory matters
  • Work closely with ownership and executive management on HOA structures and deed restrictions to align with company goals and community standards
  • Draft, review, and negotiate letters of intent, purchase and sale agreements, land development agreements, easements, financing documents, HOA documents, leases, and other real estate-related agreements
  • Manage demand letters, disputes, and litigation matters, including selection and oversight of outside counsel
  • Oversee entity formation, structuring, and ongoing entity management to ensure compliance with corporate and regulatory requirements
  • Advise on corporate governance, risk management, compliance, and strategic business planning initiatives
  • Partner with land acquisition, development, finance, and operations teams to deliver timely, practical legal solutions that support company growth

Qualifications

  • Juris Doctor (JD) from an accredited law school
  • Active license to practice law
  • Legal experience in real estate within a company operating through multiple legal entities; residential real estate experience preferred
  • Background as a land use attorney with experience supporting development and entitlement activities
  • Experience negotiating real estate sales contracts and land purchase agreements
  • Demonstrated experience handling demand letters, disputes, and litigation matters
  • Strong knowledge of Maryland real estate and business law; experience in Virginia, Pennsylvania, and/or Delaware is a plus
  • Experience with entity formation, structuring, and ongoing entity management
  • Working knowledge of corporate estate planning is preferred but not required
  • Law firm and/or in-house experience at a pre-partner or equivalent career stage
  • Strong judgment, communication skills, and a practical, business-focused approach
