Corporate Associate Attorney – M&A / Securities

5+ Years of Experience

We are seeking an experienced Corporate Associate Attorney to join a sophisticated transactional practice in Chicago. This opportunity is well suited for an attorney who enjoys the variety of a broad corporate practice and has substantive experience with M&A, securities matters, and/or lending transactions.

The Opportunity

The attorney will work on complex corporate transactions involving:

• Mergers and acquisitions
• Private securities offerings
• Corporate governance and general corporate matters
• Commercial lending and financing transactions
• Drafting and negotiating purchase agreements, shareholder agreements, confidentiality agreements, and other transactional documents
• Transactional due diligence and deal execution
• Advising clients throughout the lifecycle of corporate transactions
• Coordinating with and overseeing junior attorneys and paralegals

Experience with public securities and stock exchange compliance, including the Securities Exchange Act of 1934 and Securities Act of 1933, is a plus.

Qualifications

• 5+ years of corporate transactional experience within a law firm
• J.D. from an accredited law school
• Strong M&A experience, with securities and/or lending experience highly valued
• Knowledge of corporate governance and applicable securities regulations
• Strong drafting, negotiation, analytical, and organizational skills
• Ability to independently manage sophisticated transactional matters
• Comfortable working collaboratively in a fast-paced corporate practice
• Appropriate bar admission required

Compensation & Schedule

Base Salary: $285,000–$305,000, depending on experience and qualifications.

This is a Chicago-based opportunity with a hybrid work structure and a competitive benefits package.
