** Transactional Corporate Attorney Needed **

We are seeking a highly skilled and motivated Transactional Corporate Attorney to join our legal team.

The Transactional Corporate Attorney will play a critical role in supporting the company’s corporate transactions, including mergers and acquisitions, joint ventures, and other complex business arrangements. The ideal candidate will have a strong background in corporate law, excellent negotiation skills, and the ability to manage multiple projects simultaneously.

Transactional Corporate Attorney Key Responsibilities:

  • Draft, review, and negotiate a variety of complex corporate agreements, including M&A agreements, joint venture agreements, and other transactional documents.
  • Provide legal counsel on corporate governance matters, compliance issues, and general corporate law.
  • Conduct due diligence for potential transactions and advise on structuring and implementation.
  • Collaborate with internal stakeholders and external counsel to facilitate smooth transaction processes.
  • Assist in the preparation and review of SEC filings and other regulatory documents.
  • Stay updated on relevant laws, regulations, and industry trends affecting corporate transactions.

Transactional Corporate Attorney Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in good standing with the state bar.
  • 5+ years of experience in transactional corporate law, preferably with a reputable law firm or in-house legal department.
  • Strong knowledge of corporate law, M&A, securities regulations, and corporate governance.
  • Excellent negotiation, drafting, and analytical skills.
  • Ability to manage multiple projects and meet deadlines in a fast-paced environment.
  • Strong interpersonal skills with the ability to communicate effectively with all levels of the organization.
