Securities Attorney | Florida

A growing and well-established legal team is seeking a Securities Attorney with 5+ years of experience to advise clients on SEC reporting, corporate governance, securities compliance, and regulatory matters. This is an excellent opportunity for an attorney with strong public company and securities experience who is looking for sophisticated work, flexibility, and long-term growth.

What You'll Do

    • Prepare and advise on SEC filings, including Forms 10-K, 10-Q, 8-K, Schedules 14A and 14C, and related shareholder communications
    • Handle SEC and FINRA investigations, comment letters, regulatory inquiries, and corporate actions
    • Advise clients on Regulation FD, Sarbanes-Oxley, insider trading policies, beneficial ownership reporting, and Rule 144
    • Assist with annual and special shareholder meetings and related corporate governance matters
    • Advise on OTC market compliance, disclosure requirements, and other securities regulatory matters

What We're Looking For

    • 5+ years of securities/corporate regulatory experience
    • Strong experience with SEC reporting and public company compliance
    • Experience with SEC and/or FINRA matters preferred
    • Excellent legal research, writing, and analytical skills
    • Florida Bar admission preferred, but not required
    • Ability to work independently while collaborating effectively with clients and legal teams
