Corporate Attorney: Sophisticated Transactional Practice in Newport Beach

Our client, a well-established Orange County business law firm, is seeking a mid-level Corporate Attorney with 4+ years of experience for its Newport Beach office. The team advises emerging and middle-market companies, private equity sponsors, and family offices on acquisitions, investments, joint ventures, and general corporate matters.

This is an in-office role in Newport Beach, where you will work hand in hand with partners and enjoy a collaborative, team-oriented atmosphere.

What You'll Do

• Draft and negotiate acquisition agreements, investment documents, and joint venture agreements
• Counsel clients on corporate governance, securities compliance, and entity matters
• Run due diligence and manage closing logistics
• Prepare commercial agreements and general business documents
• Coordinate with real estate, tax, and estate planning colleagues as needed

What We're Looking For

• J.D. from an accredited law school
• Active member of the State Bar of California in good standing
• 4+ years of corporate, M&A, or general business transactional experience
• Excellent drafting and negotiation skills
• Strong attention to detail and responsiveness to clients
• Commitment to working in office in Newport Beach
