Position Overview

A highly regarded San Francisco law firm is seeking a mid-level to senior Corporate Tax Associate to join its sophisticated tax practice. This attorney will advise clients in connection with corporate/M&A transactions and private investment funds, working closely with attorneys across the firm’s Corporate/M&A, Investment Funds, and Investment Advisers practices.

The firm represents a sophisticated client base in matters involving mid-market M&A, joint ventures, early-stage companies, hedge funds, private equity funds, venture capital funds, real estate funds, investment advisers, and complex financial transactions. This is an excellent opportunity for an attorney seeking meaningful responsibility and the opportunity to work directly with experienced attorneys and sophisticated clients in a collegial midsize-firm environment.

Key Responsibilities

  • Advise clients on federal, state, and other tax considerations related to corporate and transactional matters.
  • Provide tax advice in connection with mergers and acquisitions, joint ventures, and other corporate transactions.
  • Advise private investment funds and investment advisers on tax matters.
  • Work with corporate/M&A and investment funds attorneys on sophisticated transactional matters.
  • Analyze tax issues involving partnerships, corporations, offshore entities, and complex financial transactions.
  • Draft and review transactional documents, tax provisions, and related legal materials.
  • Communicate directly with clients and collaborate with attorneys across multiple practice groups.

Qualifications

  • 5–8 years of corporate tax transactional experience preferred.
  • Experience advising on M&A, investment funds, partnerships, or complex financial transactions.
  • Strong legal research, writing, analytical, and communication skills.
  • Superior academic credentials from a nationally recognized law school preferred.
  • California Bar admission 

Compensation

  • $310,000–$370,000 base salary, depending on experience and other factors.
  • Competitive benefits package.
  • 1,850-hour annual billable target, including qualifying pro bono and certain administrative time.
  • Significant bonuses available for associates billing 1,950 hours or more.
