Corporate Associate Attorney
3–5 Years of M&A & Business Transactions Experience | Greater Seattle Area

A respected and growing business law practice is seeking a Corporate Associate Attorney with 3–5 years of experience to join its expanding transactional team in the Greater Seattle area.

This role offers the opportunity to work on sophisticated middle-market transactions and serve a diverse client base ranging from closely held businesses and entrepreneurs to established regional companies. Attorneys in this practice receive meaningful responsibility, direct client interaction, and exposure to a broad range of corporate matters in a collaborative and team-oriented environment.

The ideal candidate will have a strong foundation in mergers and acquisitions, general corporate counseling, and transactional drafting, along with the ability to manage multiple matters efficiently while maintaining a high level of client service.

Key Responsibilities

• Support and manage mergers, acquisitions, restructurings, and other business transactions
• Draft and negotiate purchase agreements, operating agreements, shareholder agreements, and commercial contracts
• Conduct due diligence reviews and assist with transaction coordination and closings
• Advise businesses on corporate governance, entity formation, and operational matters
• Collaborate directly with clients, advisors, and senior attorneys throughout the transaction lifecycle
• Assist with ongoing client counseling and strategic business matters

Qualifications

• 3–5 years of corporate transactional experience in a law firm environment
• Experience handling M&A transactions and related corporate matters
• Strong drafting, analytical, and communication skills
• Ability to manage multiple projects in a fast-paced practice
• Washington bar admission or ability to obtain admission
