Our client, an established California-based law firm, is seeking a Corporate Associate Attorney with 2–5 years of experience to join its growing Corporate Group. This is an excellent opportunity for an attorney who wants to work on complex corporate transactions while gaining meaningful client contact and long-term career growth within a collaborative environment.

The Corporate Group advises clients across a broad range of corporate and business matters, including mergers and acquisitions, emerging growth company representation, private investment fund formation, securities law compliance, intellectual property transactions, corporate governance, and general corporate counseling.

What You'll Do

Handle a variety of corporate transactional matters from inception through closing

Assist with mergers and acquisitions, business formations, restructurings, and other strategic transactions

Advise emerging growth companies on corporate governance and operational matters

Draft, review, and negotiate transaction documents, commercial agreements, and corporate records

Provide securities law counseling and assist with compliance matters

Support private investment fund formation and related transactional work

Collaborate directly with clients and senior attorneys on complex business matters

Provide practical legal advice on corporate, commercial, and governance issues

Qualifications

2–5 years of corporate transactional experience

Experience with mergers and acquisitions required

Background in securities law, corporate governance, and general corporate counseling preferred

Strong drafting, negotiation, and analytical skills

Excellent written and verbal communication abilities

Ability to manage multiple transactions and client matters simultaneously

Strong attention to detail and commitment to client service

Admission to the California State Bar, or ability to become admitted promptly
