Senior Securities Attorney – South Florida / Remote Florida

A highly respected Florida business law firm is seeking an experienced Securities Attorney to join its growing corporate and securities practice. This is an opportunity for a sophisticated attorney to work on complex capital markets and corporate matters while having meaningful client contact and the opportunity to play an important role in the continued growth of the practice.

The position is open to attorneys located in South Florida, with consideration also given to highly qualified attorneys who are based elsewhere in Florida and interested in a remote arrangement.

Position Highlights

  • Compensation: $230,000+ depending on experience and qualifications

Responsibilities

The attorney will handle a broad range of sophisticated securities and corporate matters, which may include:

  • Public and private securities offerings

  • Equity, debt and convertible securities transactions

  • Private placements and exempt offerings

  • SEC registration statements and periodic reporting

  • Securities compliance and corporate governance

  • SEC and regulatory matters

  • Capital raising transactions

  • PIPE transactions and other public-company financings

  • Mergers and acquisitions

  • Exchange listing and continued listing matters

  • Preparation and review of offering and disclosure documents

  • Advising public and private companies, investors and other market participants

  • General corporate and transactional matters associated with securities work

Qualifications

  • J.D. from an accredited law school

  • Active membership in the Florida Bar

  • Significant experience practicing securities and/or capital markets law

  • Strong understanding of federal and state securities laws and SEC regulations

  • Experience advising public and/or private companies on securities matters

  • Experience with securities offerings, SEC filings, private placements or related capital markets transactions

  • Strong drafting, analytical and communication skills

  • Ability to manage sophisticated matters independently while working collaboratively with clients and other attorneys

Preferred Experience

The ideal candidate will have experience with several of the following:

  • SEC reporting and compliance

  • Registration statements

  • Public offerings

  • Private placements

  • Regulation D, Regulation S or Regulation A+

  • PIPE transactions

  • Reverse mergers

  • Nasdaq or NYSE listing matters

  • Corporate governance

  • M&A

  • Venture capital or private equity financings

  • Representation of issuers, investors, funds, placement agents or underwriters
