The Opportunity
We are representing one of the Intermountain West’s most prestigious full-service law firms in their search for a Mid-Level Corporate Associate for their Boise office. This firm is widely recognized as a regional powerhouse, offering a sophisticated work product and high-value deal flow, but with the collaborative culture and community-focused lifestyle unique to Idaho.
This role is designed for a high-performing attorney who has received foundational training at a sophisticated law firm and is ready to take the next step in their career. You will work alongside some of the most respected corporate minds in the region, handling complex regional and national transactions while enjoying a clear path for professional advancement.
Expanded Key Responsibilities
Lead and manage various aspects of M&A transactions, including drafting and negotiating asset and stock purchase agreements, merger agreements, and ancillary closing documents.
Execute private equity transactions and venture capital financings, managing the process from initial letter of intent through due diligence and closing.
Oversee complex due diligence investigations, identifying legal risks and working closely with clients to develop mitigation strategies.
Advise a diverse portfolio of corporate clients on the tax implications of various business structures, reorganizations, and exit strategies.
Lead the formation, capitalization, and structural organization of new business entities, providing foundational legal architecture for emerging companies.
Serve as a day-to-day legal advisor for established business entities, handling corporate governance, board resolutions, and commercial contract negotiations (including licensing, distribution, and vendor agreements).
Work closely with the firm’s Real Estate, Tax, and Intellectual Property groups to provide comprehensive legal solutions for multi-faceted business deals.
Qualifications
Experience: 3+ years of dedicated corporate law experience.
Background Requirement: Must have prior experience practicing within a "sophisticated law firm" corporate group, demonstrating a high level of technical proficiency and professional polish.
Academic Excellence: J.D. from an ABA-accredited law school with strong academic credentials and a high-quality writing sample.
Licensure: Active member in good standing of the Idaho State Bar (or eligible for immediate admission via reciprocity).
Soft Skills: Exceptional attention to detail, a proactive work ethic, and the ability to manage multiple high-priority deals simultaneously in a fast-paced environment.
Compensation & Benefits
Base Salary Range: $130,000 – $160,000+ (DOE).
Incentives: Robust annual performance bonus structure and potential for client origination incentives.
