Commercial Technology Counsel

The Opportunity
A fast-growing technology company serving the higher education sector is seeking a Commercial Technology Counsel to join its in-house legal team.
This is a highly collaborative, business-facing role for an attorney with substantial experience negotiating complex SaaS and technology agreements. As a strategic legal partner, you will work closely with Sales, Product, Client Success, Security, Finance, and Executive Leadership to structure commercial transactions, manage legal risk, and help scale a rapidly growing business.
What You'll Do
- Draft, review, negotiate, and manage sophisticated commercial technology agreements, including:
- SaaS Licensing Agreements
- API Agreements
- Master Services Agreements (MSAs)
- Order Forms and Amendments
- AI Addendums
- Data Processing Agreements (DPAs)
- Professional Services Agreements
- Partner and Reseller Agreements
- Privacy Policies
- Lead contract negotiations with higher education institutions and public-sector customers.
- Provide practical legal guidance on commercial transactions, contract strategy, and risk management.
- Advise internal stakeholders on technology transactions, intellectual property licensing, privacy, procurement, and regulatory compliance.
- Ensure contractual commitments comply with applicable privacy, accessibility, licensing, and regulatory requirements.
- Support AI governance initiatives, including AI-related contractual obligations and data governance.
- Improve contracting processes, templates, playbooks, and contract lifecycle management.
- Collaborate cross-functionally to support strategic initiatives, product launches, and continued business growth.
Required Qualifications
To be successful in this role, candidates should possess the following:
- Juris Doctor (JD) and active Bar admission in good standing.
- 2–5 years of legal experience supporting SaaS, EdTech, or Higher Education technology companies.
- Extensive experience drafting, reviewing, negotiating, and managing commercial technology agreements, including SaaS licensing agreements, API agreements, Master Services Agreements (MSAs), Data Processing Agreements (DPAs), Professional Services Agreements, and AI-related contractual provisions.
- Experience negotiating complex commercial agreements with higher education institutions and/or public-sector customers.
- Strong working knowledge of FERPA, WCAG accessibility standards, GDPR, privacy and data protection laws, and state consumer privacy regulations.
- Experience advising on SaaS and technology transactions.
- Knowledge of intellectual property licensing and technology contracting.
- Ability to provide practical, business-oriented legal advice while managing multiple complex negotiations in a fast-paced environment.
Preferred Qualifications
- Experience supporting public-sector procurement processes.
- Familiarity with TxRAMP and/or FedRAMP contractual frameworks.
- Experience with Contract Lifecycle Management (CLM) systems.
- Experience supporting AI-enabled products or AI governance initiatives.
