Position Summary

We are seeking a skilled Real Estate Attorney with a minimum of five (5) years of experience in title and survey review, negotiation, and lease review and drafting in connection with corporate merger and acquisition transactions. The ideal candidate will have substantial experience managing complex real estate due diligence matters, advising on transaction-related real estate risks, and supporting sophisticated corporate acquisitions, dispositions, and restructurings.

This position offers the opportunity to work closely with corporate, legal, and business teams on high-value transactions involving commercial real estate assets across multiple jurisdictions.

Key Responsibilities

  • Review, analyze, and negotiate title commitments, title policies, endorsements, exception documents, and related real estate due diligence materials.
  • Review and interpret ALTA/NSPS surveys, easements, encroachments, access issues, and other survey-related matters.
  • Identify title and survey risks and provide practical legal solutions to facilitate transaction objectives.
  • Lead and manage real estate due diligence efforts in connection with mergers, acquisitions, divestitures, financings, and corporate restructuring transactions.
  • Review, draft, and negotiate commercial leases, lease amendments, estoppel certificates, assignments, consents, subordination and non-disturbance agreements (SNDAs), and related real estate documents.
  • Analyze lease provisions, assignment rights, change-of-control restrictions, and other matters impacting corporate transactions.
  • Advise transaction teams regarding real estate-related legal risks and recommend strategies for mitigation.
  • Coordinate with title companies, surveyors, landlords, tenants, outside counsel, and other transaction parties.
  • Prepare due diligence memoranda, risk assessments, and transaction summaries for internal stakeholders and deal teams.
  • Support post-closing integration activities and ongoing portfolio management matters.

Required Qualifications

  • Juris Doctor (J.D.) from an accredited law school.
  • Active license and good standing in at least one U.S. jurisdiction.
  • Minimum of five (5) years of experience practicing commercial real estate law.
  • Significant experience reviewing and negotiating title and survey matters.
  • Extensive experience drafting, reviewing, and negotiating commercial leases and related agreements.
  • Experience supporting corporate mergers and acquisitions involving real estate assets.
  • Strong understanding of title insurance, survey matters, easements, access rights, encumbrances, and commercial real estate due diligence.
  • Excellent analytical, drafting, negotiation, and communication skills.
  • Ability to manage multiple transactions simultaneously in a fast-paced environment.

Preferred Qualifications

  • Experience at a nationally recognized law firm, sophisticated regional law firm, or corporate legal department.
  • Experience handling complex, multi-state real estate portfolios.
  • Familiarity with a broad range of commercial asset types, including office, industrial, retail, and mixed-use properties.
  • Strong business judgment and a practical, solutions-oriented approach to transactional matters.
