A well-established Minneapolis law firm is seeking an experienced Corporate Finance Attorney with 5+ years of experience to join its dynamic business law team. This is an excellent opportunity for a motivated attorney to work on sophisticated transactions in a collaborative and growth-oriented environment.

Position Overview:

The ideal candidate will have substantial experience representing lenders, borrowers, and financial institutions in a wide range of financing transactions. The role includes advising clients on complex corporate and commercial finance matters, drafting and negotiating loan documentation, and assisting with mergers, acquisitions, and related transactions.

Responsibilities:

  • Represent clients in secured and unsecured financing transactions, including commercial lending, asset-based lending, and real estate finance

  • Draft, review, and negotiate credit agreements, loan documents, and related financing instruments

  • Advise clients on corporate governance, regulatory compliance, and transactional structure

  • Assist with due diligence, closings, and post-closing matters

  • Collaborate with other practice groups on multi-disciplinary transactions

Qualifications:

  • Juris Doctor (J.D.) from an accredited law school

  • Licensed to practice law in Minnesota (or eligible for admission by reciprocity)

  • 5+ years of experience in corporate finance, commercial lending, or transactional law

  • Strong drafting, negotiation, and analytical skills

  • Excellent communication and client management abilities

  • Proven ability to manage multiple complex matters independently
