Corporate Associate Attorney | Miami, FL
A large, nationally recognized law firm is seeking a Corporate Associate with 3–5 years of experience to join its Miami office. This is an excellent opportunity to work on sophisticated corporate and transactional matters within a highly respected, well-resourced, and growing corporate practice.
What You’ll Do
• Work on complex M&A transactions, including private equity deals, equity investments, and joint ventures.
• Advise clients on corporate governance, entity structuring, and partnership matters.
• Assist with drafting and negotiating transaction documents, including purchase agreements, operating agreements, and investment documents.
• Support clients across a wide range of industries in connection with licensing, compliance, and general corporate matters.
• Collaborate with partners and senior attorneys on high-level transactional strategy and execution.
What We’re Looking For
• 3–5 years of corporate/transactional experience, with a strong focus on M&A.
• Experience with private equity, equity investments, joint ventures, and partnership issues preferred.
• Knowledge of securities law, technology transactions, or fund formation is a plus.
• Strong drafting, negotiation, and analytical abilities.
• Exceptional communication skills and the ability to work in a fast-paced, team-oriented environment.
• Active member of The Florida Bar (required).
