Key Responsibilities:
- Drafting, reviewing, and negotiating a wide range of corporate agreements (e.g., purchase agreements, shareholder agreements, operating agreements, etc.)
- Advising clients on mergers and acquisitions, securities, joint ventures, and corporate governance matters
- Conducting due diligence and coordinating with clients, accountants, and other professionals
- Providing counsel on corporate formation, compliance, and regulatory issues
- Managing client relationships and maintaining regular communication
- Assisting with deal structuring and advising on tax and regulatory implications
- Working as part of a team to support clients through all stages of transactions
Qualifications:
- Juris Doctor (JD) degree from an accredited law school
- 2-8 years of experience in corporate transactional law, preferably in mergers and acquisitions, private equity, or related areas
- Strong knowledge of corporate governance, business law, and securities regulations
- Excellent drafting and negotiation skills
- Strong analytical and problem-solving abilities
- Ability to work in a fast-paced, deadline-driven environment
- Exceptional communication and interpersonal skills
- Active membership in the Pennsylvania Bar
Preferred Skills:
- Experience working with middle-market clients
- Familiarity with industry-specific regulations and compliance issues
- Fluency in a second language (e.g., Spanish) is a plus
