Job Description

Key Responsibilities:

  • Drafting, reviewing, and negotiating a wide range of corporate agreements (e.g., purchase agreements, shareholder agreements, operating agreements, etc.)
  • Advising clients on mergers and acquisitions, securities, joint ventures, and corporate governance matters
  • Conducting due diligence and coordinating with clients, accountants, and other professionals
  • Providing counsel on corporate formation, compliance, and regulatory issues
  • Managing client relationships and maintaining regular communication
  • Assisting with deal structuring and advising on tax and regulatory implications
  • Working as part of a team to support clients through all stages of transactions

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school
  • 2-8 years of experience in corporate transactional law, preferably in mergers and acquisitions, private equity, or related areas
  • Strong knowledge of corporate governance, business law, and securities regulations
  • Excellent drafting and negotiation skills
  • Strong analytical and problem-solving abilities
  • Ability to work in a fast-paced, deadline-driven environment
  • Exceptional communication and interpersonal skills
  • Active membership in the Pennsylvania Bar

Preferred Skills:

  • Experience working with middle-market clients
  • Familiarity with industry-specific regulations and compliance issues
  • Fluency in a second language (e.g., Spanish) is a plus
